Mr. Johnson represents companies in their formation with an eye to maximizing the possibility of a successful funding and ultimate exit. His knowledge of the entire life cycle of a venture-backed company helps him provide valuable, practical advice to clients as they first form, then transition to financing and beyond. At the other end of the company life cycle, Mr. Johnson has advised some of San Diego's most successful public companies in corporate governance, SEC and NASDAQ compliance matters (including Sarbanes-Oxley compliance), and in public and private offerings. Mr. Johnson also regularly advises top-tier venture capital and private equity firms, and gives his clients the benefit of understanding both sides' key decision points and motivations.
