Paul Johnson
Partner, Procopio, Cory, Hargreaves & Savitch LLP

Mr. Johnson represents companies in their formation with an eye to maximizing the possibility of a successful funding and ultimate exit.  His knowledge of the entire life cycle of a venture-backed company helps him provide valuable, practical advice to clients as they first form, then transition to financing and beyond.  As a result, he has counseled some of San Diego's most promising startups, some of its most successful public companies and some of its most successful venture capital firms.  His advice to startups begins pre-formation and continues as they transition to protection of their intellectual property, negotiation of financings and an ultimate public offering or sale of the business.  At the other end of the company life cycle, Mr. Johnson has advised some of San Diego's most successful public companies in corporate governance, SEC and NASDAQ compliance matters (including Sarbanes-Oxley compliance), and in public and private offerings.  Mr. Johnson also regularly advises top-tier venture capital and private equity firms, and gives his clients the benefit of understanding both sides' key decision points and motivations.  As part of the natural company life cycle, Mr. Johnson also assists public and privately-held companies through the process of making acquisitions and in being sold, and is a member of the American Bar Association's committee on negotiated acquisitions..
