 The financial fiasco’s of Enron, WorldCom and the stock option backdating scandals of recent years have brought us new regulation of deferred compensation known as “Section 409A”.  The new tax law impacts both private and public companies.  A significant aspect of Section 409A is the proper determination of the exercise price of a stock option.   Do it wrong and the consequences to optionees can be financially devastating.    Ralph Barry with Wilson Sonsini will be covering the basics of 409A and discuss legal consequences to executives, optionees and the company itself; Jeff Kinderman from Oracle Capital will discuss IRS approved methods of valuation and David Russian will present the company’s involvement.

Jeffrey Kinderman
Director, Oracle Capital Advisors, LLC
Jeff Kinderman, Director, has over 14 years experience providing clients with business consulting services.  He has extensive experience in the areas of business valuation and merger and acquisition advisory.  Prior to his employment at Oracle Capital Advisors, LLC, Mr. Kinderman worked in St. Louis as a director for a boutique investment banking firm.  Specific services Mr. Kinderman provides include: business valuation, option valuation, mergers and acquisitions, corporate finance, divestitures, fairness opinions.  Mr. Kinderman holds a Bachelor of Science in Business Administration from the University of Missouri at St. Louis.  Additionally, Mr. Kinderman is a CPA licensed in the state of Missouri and has earned the Certified Valuation Analyst designation. 

Ralph J. Barry
Partner, WSGR
Ralph Barry is a partner in the firm's employee benefits and compensation department, based in the San Diego, California, office. His practice focuses on the representation of both private and public technology clients concerning executive compensation and employee benefits matters. His work entails the design and drafting of equity incentive plans, employment agreements, and tax-qualified retirement plans, as well as the tax, accounting, and securities law issues involved in implementing these arrangements. In addition, Ralph is actively involved in the firm's transactional practice, working with employers to manage the transition of employees and their benefits during and after a merger or acquisition, joint venture, or spin-off.

David Russian
CFO & Entrepeneur
David Russian is frequently a panelist on CommNexus’ “Nextstage” project which assists startups with business plans and advice.  David is the former CFO at Brooktree semiconductor company and over the last 30 years he has been CFO of four NASDAQ listed companies and has assisted in starting up five companies.

Mr. Dunn is a Partner in the PricewaterhouseCoopers Human Resource Services Group, where he is the national leader of the firm's executive compensation practice  In that role, Bill and his colleagues help companies effectively and competitively compensate their global workforce, where they assist with strategy development, design, implementation, administration, maintenance, and ongoing evaluation of incentive compensation plans to ensure support of business objectives and recruiting and retention needs.
Mr. Dunn has a master’s degree in taxation from the American University, Washington, D.C. and a bachelor's degree from the University of Maryland, College Park, MD.  He is a Certified Public Accountant and is a member of the American Institute of Certified Public Accountants.
Mr. Dunn has published articles in numerous technical publications such as the Journal of Taxation, Journal of Accountancy, Tax Adviser, Taxes and Tax Executive.  He is a frequent speaker on executive compensation matters and has appeared is many print and broadcast tax features.  He has been quoted in a variety of tax publications as well as general interest publications.  Finally, Mr. Dunn has instructed at Georgetown and American University and has appeared on a variety of technical and industry video programs.
